Meho Terms of Use

These Terms of Use (the “Terms of Use”) govern your use of the Meho Services, which is provided by Meho. By clicking the “Agree” button to agree to the Terms of Use, you agree to be bound by and follow the Terms of Use.

Please read carefully and make sure you fully understand the Terms of Use before accessing or using the Meho Services. If you are under the age of thirteen (13), you should not access or use the Meho Services. If you do not accept the Terms of Use, you shall immediately stop registration with and use of Meho.

The Terms of Use incorporate the terms and conditions of the Privacy Policy posted on the Meho Services, and available here.

I. Account Information and Password

After registration, you will choose a user name and password. It is your responsibility to keep your user name and account information and password secure and in confidence. Neither Meho nor any of its affiliates shall be held liable for (a) any theft, breach or misuse of your account or Personal Information by any third party, including damage caused by hacking or viruses, or (b) any other consequences resulting from your misuse of your account information and password or failure to keep your user name and password secure.

Ⅱ. Services

Meho will provide individual services that comprise the Meho Services at its discretion, and may add, change or terminate such individual services, including but not limited to, course study, the ability to post and comment on other users’ performance, the personal homepage and private messaging, at any time with or without notice to you at its discretion.
Meho may also provide certain fee-based services. You will be advised of any fee-based service before your use and will not be able to use such service unless you pay the applicable fee for such service.

Ⅲ. Use Rules

After registration, you will have the right to use the Meho Services to share and communicate with other users and may share materials, including course study, postings, teaching materials and audio recordings. You also will have the ability to use the personal homepage and photo uploading functions provided by Meho to share personal information.
You must abide by applicable laws and regulations in using the Meho Services.
The Meho Services may be used only for personal communication, study, enjoyment and non-business purposes. You may not use the Meho Services to sell any content, product or service, or use the Meho Services for any advertising or business purpose.
When using the Meho Services, you agree that you will not post, communicate or otherwise distribute information that is unlawful, threatening, abusive, fraudulent, deceptive, defamatory, harmful to minors, or indecent in anyway, as determined by Meho in Meho’s sole and exclusive discretion, including any content that would constitute a criminal offense, give rise to civil liability or otherwise violate any local, state, national or international law such as by infringing, misappropriating, or otherwise violating the intellectual property, privacy or other proprietary rights of any third party, or otherwise cause injury of any kind to a third party.
Meho is not responsible for ensuring that the content posted by users on the Meho Services does not infringe any intellectual property, privacy or other proprietary rights; provided, however, that Meho shall delete or de-link allegedly infringing or violating content in accordance with relevant laws and regulations.
In the event you engage in any conduct that violates these Terms of Use or misuse the Meho Services, you shall be responsible for all resulting liabilities (whether based in contract or tort), and Meho may also hold you liable for any loss incurred by Meho or its employees or affiliates.
Meho may stop providing the Meho Services to any user who violates these Terms of Use or who is in breach of any laws, regulations or provisions of this Section, or who infringes upon the legal rights or interests of any other person.
Meho has the right to place commercial advertisements or any other business information in any manner during the provision of the Meho Services, and you agree that Meho may send promotional or any other business information concerning Meho to you by email or other means.

Ⅲ. Use Rules

IV. Service Termination, Suspension and Changes

Meho has the right to terminate some or all of the Meho Services (including fee-based services and free services) at any time. If there is any termination of any free service, Meho is not required to notify you and will not be liable to you or any third party for such termination. If there is any termination of any fee-based service, Meho shall notify you in advance and may provide an alternative fee-based service. If Meho does not provide, or you do not accept, the alternative fee-based service, a pro rata portion of any pre-paid service fee shall be refunded to you (based on the amount of the remaining Meho Service that you have prepaid). The foregoing shall be your sole and exclusive remedy in the event of any termination of a fee-based Meho Service.
You understand that Meho may need to suspend access to the Meho Service from time to time for maintenance or other reasons. Meho shall not be liable for such suspensions even if for a fee-based Service.
If the account number registered by you for a free service is not used for ninety (90) consecutive days, Meho shall have the right to delete the account and stop providing services to you.
Meho reserves the right to change or alter any of the Meho Services at any time.

Ⅴ. Miscellaneous

Meho has the right to modify the Terms of Use from time to time in accordance with any changes to applicable laws and regulations and to address the operating needs of Meho. In the event of such modification, Meho will post the Terms of Use on the Meho Services. Once an updated version of the Terms of Use is posted on the Meho Services, it will take effect and replace the previous governing Terms of Use. You can log in to check the latest version of the Terms of Use at any time. You are obliged to follow and read the latest version of the Terms of Use and any announcement on the Meho Services. If you continue to use the services provided by Meho after an updated version of the Terms of Use is posted to the Meho Services, you will be deemed to have agreed to the updated Terms of Use. If you disagree with an updated version of the Terms of Use, you may provide feedback to Meho. In addition, you may terminate your receipt of any fee-based service because of a material change in the Terms of Use upon ten (10) days’ notice to Meho, in which case Meho will refund a pro rata portion of any pre-paid service fee to you.
All headings herein are for convenience only and have no legal or contractual effect.
If any one or more provisions of the Terms of Use shall be found to be illegal or unenforceable in any respect, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired thereby and any such provisions shall be enforced as near as may be permitted by law.
The Terms of Use shall be governed by and construed in accordance with the laws of the State of New York applicable to agreements made and to be performed entirely in New York regardless of the laws that might otherwise govern under applicable principles of conflicts of laws. Any disputes arising out of the Terms of Use shall be brought in the federal and state courts located in San Mateo County only, and you hereby consent to such venue and to the exclusive jurisdiction of such courts over you and the subject matter of such enforcement.
